  • Company: Ambros Therapeutics and Werewolf Therapeutics
  • Location: San Diego and Waltham, United States
  • Deal value: Approximately $550 million, alongside a $150 million private placement
  • Focus area: Neridronate for complex regional pain syndrome type 1
  • Next steps: Close the merger and fund the ongoing Phase 3 CRPS-RISE trial

What happened?

Ambros Therapeutics and Werewolf Therapeutics have agreed to combine in an all-stock reverse merger. The transaction will create a Nasdaq-listed company focused on advancing Ambros’ lead programme, neridronate, for complex regional pain syndrome type 1, or CRPS-1.

The companies also secured commitments for an oversubscribed $150 million private placement.

Why does it matter?

CRPS-1 is a debilitating pain disorder with no FDA-approved treatment. The combined company will have the capital and public-market access to continue developing neridronate through late-stage testing and potentially towards regulatory submission.

The deal also illustrates how private biotech companies are using reverse mergers to access public listings and development capital without undertaking a traditional initial public offering.

Who’s behind it?

Ambros Therapeutics is developing neridronate, a non-opioid treatment intended to reduce pain and other symptoms associated with CRPS-1. Werewolf Therapeutics is a Nasdaq-listed immunotherapy company that will provide the public-company structure for the combined business.

Following completion, the company will operate under the Ambros Therapeutics name and is expected to trade under the ticker AMBX.

How was it achieved?

The transaction is structured as an all-stock merger. Ambros is valued at an implied $500 million, while Werewolf’s implied value is approximately $47.5 million before the financing.

The private placement is being co-led by RA Capital Management and Janus Henderson Investors. Pro forma ownership is expected to be approximately 71.7% for Ambros shareholders, 6.8% for existing Werewolf shareholders and 21.5% for the new financing investors.

What’s next?

The merger is expected to close during the first quarter of 2027, subject to shareholder approval and customary closing conditions. Proceeds will support the ongoing Phase 3 CRPS-RISE trial and help fund neridronate’s development towards a potential FDA submission.
